The Services are intended for use by businesses and professionals in the financial services and compliance sectors. You must be at least 18 years old and have the authority to bind the entity you represent to these Terms. The Services are not intended for consumer or personal use.

Eliot AI provides an AI-powered compliance workspace for Know Your Business (KYB) and Anti-Money Laundering (AML) investigations. The platform uses AI agents to process corporate entity data, analyze documents, map ownership structures, and generate compliance reports for enterprise clients.

We own all rights, title, and interest in the Services, including all software, algorithms, models, designs, documentation, and trademarks. Nothing in these Terms transfers any intellectual property rights to you except the limited right to use the Services as described herein.

You retain all rights to the data, documents, and content you upload to the platform ("Your Data"). We do not claim ownership of Your Data.

You are responsible for the accuracy, legality, and quality of the data you provide to the Services. You represent that you have all necessary rights and permissions to upload and process the data you submit.

AI-generated outputs (including compliance reports, entity extractions, and ownership maps) are produced for your use and are treated as your data. However, AI outputs are generated by automated systems and should not be relied upon as legal, financial, or regulatory advice. You are responsible for reviewing, verifying, and validating all outputs before use in any compliance, regulatory, or business decision.

We do not use Your Data to train, fine-tune, or improve third-party AI models. All AI inference is performed under zero data retention configurations with our model providers.

Each party agrees to keep confidential any non-public information received from the other party in connection with the Services. This obligation does not apply to information that is:

If the Services require payment, fees will be set out in a separate order form or subscription agreement. All fees are quoted in US dollars and are non-refundable unless otherwise specified. We reserve the right to change our pricing with reasonable notice. Payment is processed by Stripe, Inc. We do not store payment card numbers on our systems.

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-generated outputs may contain errors or inaccuracies. We do not guarantee the accuracy, completeness, or reliability of any output produced by the platform.

The Services are not a substitute for professional legal, financial, or regulatory advice. You should consult qualified professionals before making compliance or regulatory decisions.

To the maximum extent permitted by law, Eliot AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Services.

Our total aggregate liability for all claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to Eliot AI in the six (6) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Eliot AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

These Terms remain in effect while you use the Services. Either party may terminate access to the Services at any time with written notice. We may suspend or terminate your access immediately if you breach these Terms.

Upon termination, your right to use the Services ceases immediately. We will delete or return your data within 90 days of termination, unless retention is required by law, consistent with our Data Processing Agreement.

We may update these Terms from time to time. The updated version will be posted on our website with a revised effective date. Material changes will be communicated via email or a prominent notice on the Services. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation for at least thirty (30) days. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association in Wilmington, Delaware. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision. These Terms, together with the Privacy Policy, Data Processing Agreement, and any applicable order forms, constitute the entire agreement between you and Eliot AI. You may not assign your rights under these Terms without our prior written consent. We may assign our rights at any time.
