These Terms of Service ("Terms") govern your access to and use of the platform and services provided by Eliot AI Inc. ("Eliot AI", "we", "us", "our"), a Delaware corporation. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
These Terms apply to the Eliot AI platform, including all related websites (meeteliot.com, app.meeteliot.com, companiesgraph.com), APIs, and tools (collectively, the "Services").
1. Eligibility
The Services are intended for use by businesses and professionals in the financial services and compliance sectors. You must be at least 18 years old and have the authority to bind the entity you represent to these Terms. The Services are not intended for consumer or personal use.
Description of Services
Account Registration
To use the Services, you may be required to create an account. You agree to provide accurate and complete registration information, keep your login credentials confidential, notify us immediately of any unauthorized use of your account, and accept responsibility for all activity that occurs under your account. We reserve the right to suspend or terminate accounts at our discretion.
Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to violate any applicable law, regulation, or third-party rights, attempt to gain unauthorized access to any part of the Services or related systems, interfere with or disrupt the integrity or performance of the Services, reverse engineer, decompile, or disassemble any part of the Services, use the Services to develop a competing product or service, share your account credentials with unauthorized third parties, or submit false, misleading, or fraudulent data to the platform.
Intellectual Property
We own all rights, title, and interest in the Services, including all software, algorithms, models, designs, documentation, and trademarks. Nothing in these Terms transfers any intellectual property rights to you except the limited right to use the Services as described herein.
You retain all rights to the data, documents, and content you upload to the platform ("Your Data"). We do not claim ownership of Your Data.
Your Data and AI Outputs
You are responsible for the accuracy, legality, and quality of the data you provide to the Services. You represent that you have all necessary rights and permissions to upload and process the data you submit.
AI-generated outputs (including compliance reports, entity extractions, and ownership maps) are produced for your use and are treated as your data. However, AI outputs are generated by automated systems and should not be relied upon as legal, financial, or regulatory advice. You are responsible for reviewing, verifying, and validating all outputs before use in any compliance, regulatory, or business decision.
We do not use Your Data to train, fine-tune, or improve third-party AI models. All AI inference is performed under zero data retention configurations with our model providers.
Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, rightfully received from a third party without restriction, or required to be disclosed by law.
Fees and Payment
If the Services require payment, fees will be set out in a separate order form or subscription agreement. All fees are quoted in US dollars and are non-refundable unless otherwise specified. We reserve the right to change our pricing with reasonable notice. Payment is processed by Stripe, Inc. We do not store payment card numbers on our systems.
Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-generated outputs may contain errors or inaccuracies. We do not guarantee the accuracy, completeness, or reliability of any output produced by the platform.
The Services are not a substitute for professional legal, financial, or regulatory advice. You should consult qualified professionals before making compliance or regulatory decisions.
Limitation of Liability
To the maximum extent permitted by law, Eliot AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Services.
Our total aggregate liability for all claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to Eliot AI in the six (6) months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Eliot AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, your violation of any third-party rights, or the data you submit to the platform.
Terms of Termination
These Terms remain in effect while you use the Services. Either party may terminate access to the Services at any time with written notice. We may suspend or terminate your access immediately if you breach these Terms.
Upon termination, your right to use the Services ceases immediately. We will delete or return your data within 90 days of termination, unless retention is required by law, consistent with our Data Processing Agreement.
Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on our website with a revised effective date. Material changes will be communicated via email or a prominent notice on the Services. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation for at least thirty (30) days. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association in Wilmington, Delaware. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
